Founded in 2022, we’re just getting started and we’re looking for dynamic team members to join us in our mission to maximize value for clients by leading companies to focus on excellence.We are seeking an experienced and talented Associate General Counsel who is passionate about helping Strive achieve its mission. As part of our fast-paced, startup environment, you will play a vital role on Strive’s Legal team and will be instrumental in fostering a collaborative and high-performance work culture where innovation and excellence thrive. Duties and Responsibilities: Assist the General Counsel to enforce and implement policies and procedures for Strive Asset Management. Work with the Chief Compliance Officer to ensure adherence to federal and state securities laws, regulations, and disclosure requirements and conduct regular assessments to identify compliance risks. Research and advise on the legal aspects of securities transactions, corporate deals, and various SEC-regulated processes. Research and advise across a broad spectrum of legal matters, ensuring business activities align with legal requirements. Subjects may include employment, ERISA, litigation, 1940 Act, Investment Company Act, and related regulations. Assist the General Counsel in conducting due diligence and assess legal implications of proposed transactions. Assistin drafting, reviewing, and negotiating a variety of contracts and agreements. Stay abreast of changes in laws and regulations affecting the company and provide proactive legal counsel and assist the General Counsel in doing the same. Foster a culture of legal awareness and compliance throughout the organization. Identify and assess legal and regulatory risks related to securities matters and other legal aspects and assist the General Counsel in doing the same. Assist the General Counsel in developing and implementing risk mitigation strategies in collaboration with relevant stakeholders. Work closely with external counsel, senior management, and various business units to provide strategic legal support Qualifications: Minimum of 2 years of legal experience. Preference for securities and corporate experience. Ability to work in fast-paced environment with a variety of personalities. Exceptional written and spoken communication skills. In-depth understanding of federal and state securities laws, regulations, and corporate governance.
