The Role The firm is seeking a solicitor to provide commercial and corporate law services to both domestic and international clients. The successful candidate will be involved in advising on corporate transactions, mergers and acquisitions, commercial contracts, and general company law matters. Responsibilities Provide expert advice on commercial contracts, mergers and acquisitions, corporate transactions, and corporate governance matters. Assist clients with drafting, reviewing, and negotiating a wide range of legal documents, including shareholder agreements, partnership agreements, and joint ventures. Advise on corporate structuring and reorganisations, ensuring compliance with relevant legal and regulatory requirements. Support clients in navigating Irish company law, including advising on directors' duties, shareholder rights, corporate governance best practices, and compliance. Manage and support due diligence processes for corporate transactions, mergers, and acquisitions. Work closely with clients to provide strategic advice and business solutions, demonstrating a high level of commercial awareness and understanding of their needs. Act as the primary point of contact for clients, ensuring effective communication and excellent client care throughout all transactions. Collaborate with other practice areas, such as tax, employment, and litigation, to ensure comprehensive legal support for clients. Handle corporate and commercial litigation where required, in conjunction with the firm's litigation team. Participate in business development initiatives and contribute to the growth of the firm's corporate/commercial practice. Candidate Requirements The ideal candidate will possess: 1+ years of post-qualification experience in corporate/commercial law Strong academic qualifications and a demonstrated understanding of Irish corporate law. In-depth technical knowledge of commercial contracts, corporate transactions, mergers, acquisitions, and company law matters. Excellent drafting and negotiation skills, with an ability to provide clear and concise legal advice. Proven transaction management skills, with the ability to lead projects from inception to completion. High level of commercial awareness and the ability to understand clients' business needs. Strong communication and interpersonal skills, with a focus on delivering excellent client service. Ability to work independently and as part of a team, showing flexibility and a strong work ethic. A diligent, detail-oriented, and proactive approach to legal work. Strong organisational skills and an ability to manage multiple client matters efficiently.
