Role OverviewOur hiring partners are seeking a dynamic and self-managed professional to join their Corporate Services team. This role reports to the Head of Corporate Services and is focused on delivering Company Secretarial (CoSec) services for a portfolio of Irish and non-Irish domiciled funds. The role requires someone who thrives in a fast-paced, sometimes challenging environment and who is keen to contribute to the team's success.Purpose of the JobThe role holder will play a key role in the team, ensuring seamless service delivery to a range of Irish and non-Irish domiciled funds. Responsibilities include providing comprehensive Company Secretarial and Corporate Governance support, such as organizing and attending board, committee, and shareholder meetings, preparing and filing regulatory compliance documentation, and offering support for corporate transactions. The role also provides opportunities to contribute to special projects, including corporate actions.Main Responsibilities And DutiesAdminister and oversee a diverse client portfolio, primarily focusing on Irish and non-Irish domiciled funds, ensuring timely and effective client care within agreed timescales and suggesting enhancements where necessary.Ensure all activities comply with relevant legislation, staying informed about the applicable laws and regulations.Attend and minute board, committee, and shareholder meetings, including travel to client locations as required.Draft board papers, assemble board packs, and ensure timely distribution to client boards.Review and provide input on corporate documentation as required, in collaboration with other advisors.Prepare and manage statutory filings and draft other company materials as needed.Review client structures and complete the necessary review processes for client entities, remaining mindful of risk exposure and adhering to established procedures.Assist with reviewing legal and tax advice where necessary and interpreting and implementing this advice appropriately.Maintain accurate and current records of client entities, ensuring compliance with all statutory obligations.Keep client records up to date and maintain statutory registers.Stay informed on constitutional and regulatory requirements relevant to individual clients.Take responsibility for various aspects of service delivery, including building client relationships, staying up to date with best practices, and sharing knowledge with the broader team.Manage office administration tasks such as billing and project work as required.Handle correspondence, gather relevant information, and prepare reports, ensuring decisions and action points are communicated and completed within set timescales.Liaise with external regulators and advisers, such as lawyers and auditors.Support the creation and maintenance of policies and procedures, including developing a knowledge base.Manage the billing and cash collection process for client accounts, being mindful of recoverability and working efficiently to minimize write-offs.Be aware of obligations for reporting unusual transactions and guide the department in this area.Adhere to Risk & Compliance procedures, particularly regarding regulatory requirements and AML legislation.Maintain CPD requirements in line with your qualification level and in-house procedures.Uphold the company's core values and expected behaviors.Perform any other duties as required by management.Essential RequirementsProven experience working with both Irish and non-Irish domiciled funds.Strong technical knowledge of Irish fund regulations, including experience with ONR management.Demonstrated leadership skills with the ability to manage and develop strong relationships with team members.Proficiency in building professional relationships with client boards and other advisers.High attention to detail, with strong analytical and report-writing skills.Candidates should ideally hold or be working towards relevant industry qualifications (e.g., ICSA).Excellent problem-solving skills.Strong organizational skills and the ability to manage multiple tasks effectively. #J-18808-Ljbffr
