Job Description

Seeking a Company Secretary to manage the governance framework of a renowned organisation, ensuring compliance with legal obligations and providing expert advice on governance matters.

As Company Secretary, you will play a key role in supporting elections, handling legal documents, and coordinating information requests. You will also oversee and ensure compliance with all statutory requirements, By-Laws, corporate governance, and legal regulations.

The role involves:

  • Organizing and managing meetings for the Trustee Council, Advisory Council, General Meetings, and selected Committees.
  • Coordinating the annual election process for the governance structure.
  • Providing governance guidance and support to staff, Council, and Committees.
  • Ensuring adherence to legislation such as the Charities Act, Lobbying Act, and Data Protection laws.
  • Acting as the central contact for Government Information and Data Protection requests, ensuring deadlines and obligations are met.
  • Collaborating closely with the President to support their role.
  • Participating in projects and initiatives as required.

You will be responsible for:

  • Managing the core governance framework of the organization.
  • Reporting directly into the CEO.
  • Providing expert advice on governance matters.
  • Ensuring compliance with legal obligations.

Requirements:

  • A third-level qualification in a relevant discipline.
  • Membership of ICSA (Institute of Chartered Secretaries and Administrators) is desirable.
  • At least 5 years' experience as a Company Secretary or in a similar role.
  • Experience working within complex governance structures, ideally in the not-for-profit sector.
  • Strong communication, interpersonal, and project management skills.
  • Proficient in minute taking, Microsoft Office, and comfortable with numbers.

This is a permanent role with a salary of €70 - €80k + benefits to include health/pension.
