Director Corporate Governance Job In Dublin

Job Description

A global alternative asset and fund administration company with 17 offices globally is now looking to recruit a Director of Governance for its Dublin City Centre office.

This role shall assist the Governance Function to support the management of Subsidiary entity Boards and Committees, facilitate internal and Group reporting, and provide ongoing governance advice to the business.

The successful candidate shall report to the Executive Director, Governance and the job can be worked on a hybrid basis with significant remote working available if required by the successful candidate.

This is a hands-on role supporting the senior management team covering all global operations. It comes with an excellent remuneration and benefits package.

The responsibilities include but are not limited to:

• Co-ordinate and manage Board and Committee meetings within the team to include

minutes, recording of actions and liaising with colleagues on any output matters

• Prepare memo's, proposals and documents for Board/Committee review and consideration
• Management and maintenance of corporate records and documents
• Responsibility and oversight for subsidiary filing requirements with local Registrars and

Regulators

• Co-ordinate and review periodic reporting to Head Office and internal reporting to Boards

and Committees

• Collaborate with stakeholders within the business such as Risk, Compliance, Legal, Finance

and Planning on matters that relate to Subsidiary entities and Committees

• Provide comprehensive legal and administrative assistance and guidance
• Advise on corporate governance matters and best practice as well as updates on any changes

in regulations and legislation

• Provide ongoing training and development of staff
• Ad hoc projects as and when they arise

This role is a Controlled Function (CF) role under the CBI Fitness & Probity regime.


Qualifications:

• Chartered Governance Institute Qualification (or equivalent)
• Demonstrable experience working in governance, with sector experience in Fund

Administration or broader Financial Services
