With Macquarie Asset Management as major shareholder, Beacon Hospital will enter a phase of accelerated expansion over the coming years. As part of our expansion, we are delighted to invite applications for the newly created role of In-House Legal and Compliance Counsel. The role will sit on the hospital management team, and be responsible for providing comprehensive legal advice and support to the company on a wide range of legal, compliance, and regulatory matters. The role requires ensuring the company's activities comply with applicable laws and regulations, and that the company operates within the legal and ethical boundaries. Key Responsibilities: Legal Advisory: Provide proactive, practical, and commercial legal advice to the business on a variety of legal issues, including corporate law, contract law, employment law, and intellectual property. Draft, review, and negotiate a wide range of commercial contracts and agreements. Manage and mitigate legal risks by designing and implementing company policies and procedures. Compliance: Develop, implement, and maintain compliance programs to ensure adherence to local, national, and international laws and regulations. Conduct regular compliance audits and risk assessments to identify potential areas of compliance vulnerability and risk. Develop and implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid or deal with similar situations in the future. Oversee the effective implementation of the shareholder's risk management framework requirements and related policies Corporate Governance: Ensure the company's corporate governance framework is robust and complies with all statutory and regulatory requirements. Prepare and maintain corporate documents, including board resolutions, minutes of meetings, and shareholder agreements. Advise on corporate structure, mergers, acquisitions, and other strategic business transactions and review such agreements. Provide company secretarial advice, and ensure that corporate filing requirements are compliant at all times. Advise and participate on committees as required. Regulatory Affairs: Monitor and advise on legislative and regulatory developments affecting the company's operations. Liaise with regulatory bodies, manage regulatory submissions, and ensure timely compliance with regulatory reporting requirements. Dispute Resolution: Manage and resolve legal disputes and litigation, including liaising with external counsel and representing the company in negotiations and legal proceedings. Develop strategies to minimize litigation risks and handle pre-litigation disputes. Data Protection Act as the Data Protection Officer for the Hospital overseeing the data protection strategy and ensuring its implementation to safeguard personal data. Provide advice and guidance, monitor compliance, be the point of contact for regulatory authorities, manage risk, manage incidents, lead strategy and policy development for data protection. Training and Education: Conduct training sessions for employees on legal and compliance matters, including but not limited to data protection, anti-bribery and corruption, financial crime risk and corporate policies in line with shareholders' and minimum legal and regulatory requirements. Promote a culture of compliance and ethical behaviour throughout the company. Qualifications and Skills: Education: Law degree from a recognised university. Admitted to practice law in Ireland. Experience: Minimum of 5 years of post-qualification experience, preferably with a mix of law firm and in-house experience. Proven experience in corporate law, contract law, regulatory compliance, and corporate governance. Skills: Strong analytical and problem-solving skills. Excellent drafting and negotiation skills. Ability to manage multiple priorities and work under pressure. Strong interpersonal and communication skills. High ethical standards and integrity. Knowledge: Comprehensive understanding of Irish laws and regulations. Familiarity with Healthcare regulations and compliance requirements.
