Job DescriptionRole Purpose: The primary aim of this role is to provide comprehensive legal expertise and support to various functions within the organization, including international and regional divisions. Reporting to the Group Legal Counsel, the role demands the capability to work independently, offering advice and assistance in contract negotiations, mergers and acquisitions (M&A) activities, compliance issues, and other legal matters.Role Scope: The role encompasses all legal activities across the group. It requires proficiency in general contractual drafting and negotiation within the Republic of Ireland, Northern Ireland, and internationally. The role also involves handling compliance issues, particularly in data protection, IT contracts, franchise agreements, and agreements with retailer customers. Responsibilities include M&A activities, organizing due diligence exercises, setting up compliance structures, and drafting standard terms and conditions and precedent documents.Primary Area of Responsibility: Drafting and negotiating procurement contracts.Providing legal support in procurement, including drafting, reviewing, and negotiating contracts for goods not for resale.Drafting, reviewing, and negotiating IT contracts.Organizing compliance plans and documentation related to trading (goods for resale) and regulatory compliance (data protection).Key Activities:Preparing and issuing new agreements for IT projects.Drafting and preparing precedent documents.Reviewing and advising on procurement contracts.Handling property acquisitions and disposals as instructed.Measures: Effective management of procurement, IT contracts, and data protection compliance work.Primary Area of Responsibility: Assisting in M&A activities.Providing legal assistance and coordinating with external lawyers on acquisitions and disposals.Key Activities:Reviewing sale and purchase agreements and related documentation, including disclosure letters.Coordinating due diligence exercises with internal teams and external lawyers.Managing diligence exercises from start to finish, ensuring attention to all significant details.Area of Responsibility: Retail Finance support in Northern Ireland.Person Specification:Knowledge and Skills:Essential Qualifications:Qualified solicitor or barrister.3+ years of post-qualification commercial legal experience in industry or private practice.Desirable Qualifications:Business degree.Functional Knowledge & Experience:Commercial/Contract law.Data Protection law.Property law.Essential Skills:Extensive knowledge of contract and commercial law.Excellent communication skills.Highly organized and motivated.Proficient in conflict resolution.Strong influencing and engagement skills.Effective time management.Strong presentation skills.Project planning expertise.Quality-oriented.Decisive.Desirable Skills:General computing skills (Word, Excel, PowerPoint).Values:Integrity.Achievement.Building long-term stable relationships.Strong work ethic.Fairness.Key Competencies:Adaptability/Flexibility.Technical and professional knowledge.Customer focus and contributing to team success.Building strategic work relations.Time management and stress tolerance.Developing others and decision making.Effective communication and problem-solving skills. #J-18808-Ljbffr
