Job Description:
Role Summary:
This is a hybrid role for a Senior Corporate Paralegal to join the EMEA & ANZ legal team, requiring a strong background in corporate law and extensive knowledge of legal frameworks in Ireland and the UK.
Key Responsibilities:
- Assist in preparation and maintenance of corporate records, including board minutes, resolutions, and other governance documents for portfolio of legal entities in Ireland and the UK.
- Ensure compliance with corporate laws and regulations in Ireland and the UK, including filing annual returns and other statutory documents with CRO and Company House.
- Provide support for mergers, acquisitions, and other corporate transactions, including due diligence, document preparation, and closing and integration processes.
- Conduct legal research on corporate law issues and provide analysis and recommendations to the EMEA & ANZ legal team.
- Act as a liaison between the company and external legal counsel, regulatory bodies, and other internal stakeholders (Tax, Treasury, Finance, Accounting).
- Mentor and train non-legal staff on corporate law matters and best practices.
Requirements:
- Law degree, paralegal studies, business management or similar field required.
- 3/4 years of experience as a corporate paralegal, with significant exposure to corporate law in Ireland and the UK required.
- Experience in a corporate legal department or law firm preferred.
- Familiarity with legal technology and software for document management and legal research preferred.
